1. TERMS AND CONDITIONS

1.1 Introduction and Legal Acceptance

This Terms and Conditions Agreement (“Agreement”) constitutes a legally binding contract between UCABS (“Company”, “We”, “Us”, “Our”), a Software-as-a-Service (SaaS) technology platform provider, and any individual, entity, vendor, merchant, customer, end user, affiliate, or other person accessing or using the Platform (“User”, “Vendor”, “Customer”, “You”, “Your”).

This Agreement governs the use of:

  • The website located at https://ucabs.store
  • All Vendor-specific websites hosted through the Platform
  • Progressive Web Applications (PWA)
  • Android and iOS mobile applications
  • Merchant dashboard applications
  • Driver/delivery applications
  • Order aggregation and listing infrastructure
  • Appointment booking modules
  • Loyalty program modules
  • Any APIs, integrations, or ancillary technology tools

By accessing, registering, listing products, subscribing, placing orders, booking appointments, or otherwise using the Platform, You irrevocably agree to be bound by this Agreement in its entirety.

If You do not agree with any provision herein, You must immediately discontinue use of the Platform.


1.2 Nature of Business Model

UCABS operates strictly as a technology service provider offering SaaS-based quick commerce infrastructure.

The Company provides digital infrastructure enabling independent Vendors to:

  • Create and operate their own website under their own domain;
  • Operate Progressive Web Applications;
  • List goods or services;
  • Offer delivery or in-store pickup;
  • Enable appointment bookings;
  • Manage orders;
  • Run loyalty programs and promotional schemes;
  • Manage their own payments.

UCABS does not:

  • Own inventory;
  • Take title to goods;
  • Stock products;
  • Act as a reseller;
  • Act as distributor;
  • Act as delivery partner;
  • Employ delivery personnel of Vendors;
  • Process payments on behalf of Vendors;
  • Act as escrow;
  • Act as agent or legal representative of Vendors.

Accordingly, UCABS functions solely as a neutral technology intermediary providing infrastructure and shall not be construed as a marketplace operator under inventory-based e-commerce model.


1.3 Vendor Responsibilities (Absolute Liability Clause)

Each Vendor expressly acknowledges and agrees that they bear sole, absolute, and exclusive responsibility for:

  1. The legality, authenticity, safety, quality, merchantability, and regulatory compliance of all products and services listed.
  2. Compliance with all applicable laws including but not limited to:
    • Consumer Protection Act, 2019
    • Consumer Protection (E-Commerce) Rules, 2020
    • Food Safety and Standards Act, 2006 (if applicable)
    • Drugs and Cosmetics Act (if applicable)
    • GST laws
    • Income Tax laws
    • Shops and Establishment laws
    • Labour laws applicable to delivery personnel
  3. Accuracy of pricing and product descriptions.
  4. Stock availability.
  5. Execution of deliveries through their own personnel.
  6. Appointment scheduling and service execution.
  7. In-store pickup management.
  8. Collection and reconciliation of payments.
  9. Refund processing to customers.
  10. Handling chargebacks and disputes.
  11. Collection and remittance of GST, TDS, and all other statutory taxes on their transactions.
  12. Compliance with data protection obligations toward their customers.

Vendor expressly agrees that UCABS shall not be liable for any loss, claim, complaint, penalty, or damages arising from Vendor’s operations.


1.4 End User (Customer) Acknowledgment and Liability Disclaimer

Every Customer using the Platform expressly acknowledges and agrees that:

  1. The contract of sale or service is strictly between the Customer and the Vendor.
  2. UCABS is not the seller, service provider, or delivery agent.
  3. UCABS does not guarantee product quality, safety, fitness, authenticity, or legality.
  4. UCABS is not responsible for:
    • Delivery delays or failures;
    • Driver conduct;
    • Product defects;
    • Expired goods;
    • Appointment cancellations;
    • Refund refusals;
    • Service negligence;
    • Safety incidents during delivery or in-store visits.

Customers agree that any claims, disputes, or grievances must be addressed directly to the Vendor.

UCABS disclaims all vicarious liability and shall not be treated as a necessary party in consumer disputes solely arising from Vendor transactions.


1.5 Delivery and Logistics Disclaimer

All deliveries are executed exclusively by Vendors through their own delivery personnel.

Driver applications provided by UCABS are technological tools only.

UCABS shall not be liable for:

  • Accidents;
  • Injuries;
  • Misconduct by delivery personnel;
  • Theft;
  • Delays;
  • Loss or damage of goods in transit.

Vendor retains full legal responsibility for logistics operations.


1.6 Appointment Booking & In-Store Services Disclaimer

Where Vendors provide:

  • Appointment-based services;
  • In-store consultations;
  • On-site services;
  • Home services;

UCABS shall not be liable for:

  • Professional negligence;
  • Injury;
  • Hygiene issues;
  • Regulatory non-compliance;
  • Staff behavior;
  • Safety violations.

All such liabilities shall lie solely with the Vendor.


1.7 Additional Applications Disclaimer

Merchant and Driver applications may be provided as complimentary services.

Vendor acknowledges:

  • There may be technical delays;
  • Feature rollouts may be gradual;
  • Maintenance downtime may occur;
  • Support may be limited.

No compensation, refund, or claim shall arise due to delay or limitation of complimentary services.


1.8 No Guarantee of Sales or Revenue

UCABS does not guarantee:

  • Sales performance;
  • Revenue generation;
  • Lead generation;
  • Platform traffic;
  • Business profitability.

Vendor assumes full commercial risk.


1.9 Affiliate Disclaimer

Affiliates operate independently.

UCABS shall not be liable for:

  • Income representations;
  • Verbal assurances;
  • Misleading statements;
  • Unauthorized commitments.

Payments must be made exclusively through official payment channels.

Payments made directly to affiliates are at Vendor’s sole risk.


1.10 Limitation of Liability

To the fullest extent permissible under Indian law:

UCABS’ total aggregate liability shall not exceed the subscription fee paid by the Vendor in the preceding one (1) month.

Under no circumstances shall UCABS be liable for:

  • Indirect damages;
  • Consequential losses;
  • Loss of profit;
  • Business interruption;
  • Reputational harm;
  • Regulatory penalties;
  • Tax liabilities of Vendor.

1.11 Indemnification

Customer and Vendor agrees to indemnify, defend, and hold harmless UCABS from and against any claims, losses, penalties, damages, or legal expenses arising from:

  • Vendor’s products;
  • Vendor’s services;
  • Delivery operations;
  • Tax non-compliance;
  • Consumer disputes;
  • Regulatory violations.

1.12 Governing Law and Jurisdiction

This Agreement shall be governed by the laws of India.

Courts located at Mysore, Karnataka shall have exclusive jurisdiction over all disputes, subject to arbitration provisions herein.


1.13 Arbitration

All disputes shall first be resolved amicably within thirty (30) days.

Failing resolution, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

2. PRIVACY POLICY

2.1 Data Collected – Vendors

UCABS may collect:

  • Personal identification information;
  • Business details;
  • GST information;
  • Payment details;
  • Login credentials;
  • Device and IP data;
  • Usage analytics.

2.2 Data Collected – Customers

UCABS may collect:

  • Name;
  • Contact details;
  • Delivery address;
  • Location data;
  • Order history;
  • Appointment data;
  • Payment transaction references;
  • Device identifiers.

2.3 Cookies and Tracking Technologies

UCABS uses cookies, session identifiers, log files, and analytical tools to:

  • Enhance functionality;
  • Monitor usage;
  • Prevent fraud;
  • Improve services.

Disabling cookies may limit platform functionality.


2.4 Data Usage and Processing

Data may be processed for:

  • Order facilitation;
  • Account management;
  • Fraud prevention;
  • Communication;
  • Legal compliance.

Processing complies with:

  • Information Technology Act, 2000;
  • Digital Personal Data Protection Act, 2023.

2.5 Vendor Responsibility for Customer Data

Vendor is solely responsible for:

  • Customer data protection;
  • Consent collection;
  • Data storage;
  • Data misuse.

UCABS disclaims liability for Vendor’s data practices.


3. REFUND AND CANCELLATION POLICY

3.1 Vendor Payments to UCABS

All setup charges, subscription fees, and platform fees are strictly non-refundable.

Refund shall apply only where complete failure to provide platform access occurs. And is applicable only to the limit of previous month subscription charges paid by the vendor.


3.2 Customer Refunds

UCABS does not process customer refunds.

All refund policies are determined and executed solely by Vendors.


3.3 Subscription Cancellation

Cancellation shall not entitle Vendor to refund.


4. SHIPPING AND DELIVERY POLICY

All deliveries are handled exclusively by Vendors.

UCABS does not guarantee delivery timelines or product condition.

Vendor bears sole responsibility for logistics and customer satisfaction.

By using this Platform, You acknowledge and agree:

  • UCABS is solely a technology infrastructure provider;
  • All commercial and transactional liability lies exclusively with Vendors;
  • Jurisdiction lies exclusively in Mysore, Karnataka;
  • Arbitration shall precede litigation.
